Heeler End User License Agreement

This End User License Agreement (the "EULA") is a legal agreement between you and Vagabond Burro LLC ("Vagabond Burro," "we," "us," or "our") for the Heeler desktop application, including its bundled documentation and any updates we provide (collectively, "Heeler").
Your use of the Heeler website, downloads, licensing, and support is also governed by the Heeler Terms of Service, and our handling of personal information is described in the Heeler Privacy Policy.
By installing, accessing, or using Heeler, you agree to this EULA. If you do not agree, do not install or use Heeler. If you use Heeler for a business or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. License grant
Subject to this EULA and any purchase, trial, beta, or other license terms presented to you, Vagabond Burro grants you a limited, non-exclusive, non-transferable, revocable license to install and use Heeler on the number and type of devices permitted by your license. You may use Heeler for personal or commercial creative work.
Heeler is licensed, not sold. Your license does not transfer ownership of Heeler or any intellectual property rights in it.
2. License types and activation
Heeler may offer free, trial, beta, and paid functionality. Available features may depend on your license type. Trial or beta access may expire, and beta features may change or be removed.
Some licenses may require a locally stored license file, license key, or device activation, and a license may be tied to a limited number of devices. A tester license file is verified on your device without contacting anyone. A purchased license key is activated online with the licensing provider identified at purchase and may be re-checked with that provider periodically; the terms presented at purchase govern that license. A re-check that cannot reach the provider does not affect your license; only the provider's own refusal of the key, for example after a refund, ends the paid functionality. You may not share a license except as expressly allowed at purchase, publish a license key, bypass license checks, or use one license on more devices than the applicable license permits.
Unless the offer presented at purchase expressly says otherwise, purchasing a license does not promise every future major version, feature, operating-system release, camera format, or third-party integration.
3. Permitted copies
You may make a reasonable number of backup copies of the Heeler installer solely to reinstall Heeler under a valid license. You may not distribute Heeler or make it available to others except where we expressly authorize you to do so.
4. Restrictions
Except to the extent applicable law expressly permits despite these restrictions, you may not:
- copy, distribute, rent, lease, sublicense, sell, or transfer Heeler or access to it;
- reverse engineer, decompile, disassemble, or attempt to derive Heeler's source code;
- modify Heeler or create derivative works from it;
- remove or alter copyright, trademark, license, or attribution notices;
- circumvent license, access, or security controls; or
- use Heeler unlawfully, to violate another person's rights, or to develop or distribute malware.
You may use Heeler's documented scripting and automation interfaces for their intended purposes. Scripts, presets, edits, and other materials you create remain yours, subject to any third-party rights they contain.
5. Your photographs, files, and output
You retain all rights you have in your photographs, source files, catalogs, edits, recipes, exports, and other content. This EULA gives Vagabond Burro no ownership of that content.
Heeler is a local desktop application, not a backup or archival service. You are solely responsible for maintaining independent, tested backups of your source photographs, catalogs, edit data, exports, and other important files before and while using Heeler. You are also responsible for confirming that exports and edits are correct before relying on, delivering, publishing, overwriting, moving, or deleting any file.
Heeler's file-removal design
Heeler is intentionally designed not to delete any file in your own folders:
- When you use Heeler's photo trash command, Heeler moves the selected source photograph into a visible
.trashfolder beside the photograph's original folder. It does not erase the photograph or empty that folder. You must use your operating system or another tool if you later choose to permanently delete those files. - "Put Back" attempts to move a photograph from that
.trashfolder to its recorded original location. It will not overwrite a file already at that location. - Stack and stitched-panorama recipes leave the same way a photograph does. Deleting a composite moves its recipe file into the
.trashfolder beside it and keeps its catalog entry, so "Put Back" works on a composite exactly as it works on a photograph. The source frames the composite was built from are never touched. - Heeler may replace or remove its own files: temporary files, render and preview caches, edit sidecars it wrote, downloaded models, logs, preferences, license and acceptance records, and other application-support data, as part of normal operation or when you request it. These are files Heeler created, not files you supplied.
Exports and your source files
Heeler will not write an export over a photograph. Two refusals apply and no setting can lift them:
- an export is never written over the photograph being exported, compared by file identity rather than by path, so an equivalent path or a symbolic link cannot slip past it; and
- an export is never written over any photograph in your catalog.
Separately, a preference that is on by default declines to overwrite any existing file, adding -2, -3 and so on to a name already taken. You may turn that preference off. The two refusals above still apply if you do.
This design reduces the risk of accidental photo deletion but cannot eliminate every risk of data loss. Hardware failure, operating-system behavior, third-party software, scripts, permissions, storage problems, user commands, file synchronization, external-drive removal, bugs, and other events may still move, corrupt, overwrite, expose, or destroy data. To the fullest extent permitted by law, you accept responsibility for your data-management decisions and for losses caused by your failure to keep adequate independent backups or to verify a requested file operation. Nothing in this paragraph excludes liability that cannot lawfully be excluded.
6. Network sharing and exported galleries
Heeler may let you serve selected photographs as a view-only gallery over your local network or export a gallery for you to publish. When you start local sharing, anyone who can reach your network and obtain the displayed link may be able to view the shared photographs and associated information. A link token is not a substitute for a trusted network, encryption, or a full authentication system. You are responsible for selecting what to share, protecting the link, configuring your network and firewall, stopping the share, and obtaining any permissions needed from people depicted in or otherwise connected with the photographs.
An exported web gallery is a set of files under your control. You are responsible for where you upload it, who can access it, and the privacy, security, and legal terms of the hosting provider you choose.
7. Third-party materials and services
Heeler includes open-source components governed by their own licenses. Those licenses and notices are provided with Heeler and control where they conflict with this EULA for the relevant component.
At your request, Heeler may download optional machine-learning models or open a third-party website, email client, payment service, or other service. Third-party materials and services are governed by their providers' terms and privacy practices. Vagabond Burro does not control and is not responsible for third-party services.
8. Updates, compatibility, and changes
We may provide updates, fixes, new versions, or feature changes, but we are not required to do so except where applicable law or an express written offer requires it. Updates may add, change, or remove features and may require acceptance of updated terms. You are responsible for maintaining a compatible device, operating system, storage environment, and any required third-party software.
9. Feedback
If you voluntarily provide ideas, suggestions, or feedback about Heeler, you grant Vagabond Burro a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not transfer ownership of your photographs or other content.
10. Beta and prerelease versions
Beta, preview, development, and other prerelease versions may be incomplete, unstable, or incorrect and may corrupt files or produce incorrect output. Do not use prerelease versions for irreplaceable data, important work, or paid production unless you accept that risk and maintain independent backups. Additional beta terms, including confidentiality obligations, may apply when presented before access or activation.
11. No service-level agreement
No service-level agreement or SLA applies to Heeler. We make no commitment regarding uptime, availability, response or resolution times, support hours, maintenance windows, recovery time, recovery point, performance, compatibility timelines, or continued availability of any feature or third-party service. Any target, estimate, roadmap, support response, or status update is informational and does not create an SLA, service credit, warranty, or other binding service commitment unless Vagabond Burro signs a separate written agreement that expressly says it is an SLA.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEELER IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. VAGABOND BURRO DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT HEELER WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE, OR FREE OF HARMFUL COMPONENTS.
WE DO NOT WARRANT THAT HEELER WILL PRESERVE, RECOVER, OR AVOID CHANGES TO ANY FILE; PRODUCE A PARTICULAR CREATIVE OR TECHNICAL RESULT; OR SUPPORT EVERY CAMERA, FORMAT, DEVICE, OPERATING SYSTEM, COLOR WORKFLOW, OR THIRD-PARTY PRODUCT.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law, and you may have additional rights.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAGABOND BURRO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS, CORRUPTION, DISCLOSURE, OR RECOVERY COSTS OF DATA OR PHOTOGRAPHS; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR OPPORTUNITY; OR COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATED TO HEELER, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF VAGABOND BURRO AND THE OTHER PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO HEELER WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID FOR HEELER OR (B) US $50.
These limitations do not apply to liability for fraud, willful misconduct, gross negligence, death, personal injury, or violation of certain consumer rights.
14. Termination
This EULA continues until terminated. You may terminate it by uninstalling Heeler and ceasing all use. Your rights under this EULA end automatically if you materially breach it. Upon termination, you must stop using Heeler and delete copies you control, except for copies applicable law permits you to retain. Sections that by their nature should survive termination will survive, including ownership, feedback, disclaimers, limitations of liability, and general terms.
Termination of this EULA does not authorize Vagabond Burro to delete your source photographs.
15. Export and sanctions compliance
You may not use, export, re-export, or transfer Heeler in violation of applicable export-control or sanctions laws. You represent that you are not prohibited from receiving Heeler under those laws.
16. Governing law, venue, and general terms
This EULA, and any dispute arising out of or related to it or to Heeler, are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For any disputes that arise, both parties agree to first negotiate in good faith to resolve the dispute for 30 days.
If the dispute is not resolved in that time, the exclusive venue for the dispute is the state or federal courts located in Sacramento County, California, and you and Vagabond Burro each consent to the personal jurisdiction of those courts. Either of us may instead bring an individual claim in any small claims court that has jurisdiction over the parties.
If mandatory law where you live gives you the right to bring proceedings in your local courts, or applies consumer protections this section cannot override, this section does not take those rights away.
If a court finds part of this EULA unenforceable, the remaining terms will remain in effect, and the unenforceable part will be enforced to the maximum extent permitted by law. Our failure to enforce a term is not a waiver. You may not assign this EULA without our written consent; we may assign it as part of a merger, reorganization, sale of assets, or by operation of law.
This EULA, together with any purchase terms presented to you and the documents it expressly incorporates, is the entire agreement between you and Vagabond Burro regarding your license to Heeler and supersedes prior statements about that subject. If mandatory local law gives you rights that conflict with this EULA, those rights control.
